Valley Health Services, LLC Terms of Service

Effective Date: May 5, 2025

These Terms of Use ("Terms") govern your access to and use of all services and products offered by Valley Health Service, LLC, including but not limited to our live review courses, online test preparation tools (e.g., the VP Package), continuing education offerings (e.g., CPC Core Modules), recruiting services, and the Valley Engage AI application. By accessing or using any of our services, you agree to be bound by these Terms.

1. Educational Purpose Only All materials, services, and tools provided by Valley Health Service, LLC are for educational purposes only. Our content is not intended to be, and should not be construed as, medical advice, diagnosis, treatment, or a substitute for professional judgment or consultation with licensed healthcare professionals.

2. No Guarantee of Exam or Employment Outcomes While Valley Health Services, LLC aims to support your educational and professional goals, we make no guarantees regarding:

  • SEE or NCE or CPC exam performance,

  • Certification or licensure outcomes,

  • Job placement or employment results. Your success depends on multiple factors, including your individual effort, clinical performance, and program requirements.

3. Valley Engage (AI Assistant) Disclaimer Valley Engage is an AI-powered educational tool. It may use information based on clinical sources, but it is not a clinician and may produce inaccurate, outdated, or incomplete responses.

  • It is your responsibility to verify any guidance provided through Valley Engage against official clinical resources.

  • Use of Valley Engage does not constitute medical advice or form a provider-patient relationship, nor is Valley Engage a medical device.

  • You agree not to rely on the app for any patient care decisions.

  • By using Valley Engage, you expressly acknowledge and agree that Valley Anesthesia, its affiliates, employees, agents, licensors, and partners shall have no liability whatsoever for any loss, injury, or damage resulting from your use of, or reliance on, information provided by the AI.

  • You further agree to hold Valley Anesthesia harmless from any and all claims, liabilities, damages, or losses, including legal fees and expenses, arising from your use of Valley Engage.

4. CPC Core Modules and Continuing Education Valley Health Services, LLC continuing education offerings, including CPC Core Modules, are approved by the NBCRNA and AANA. Users are responsible for verifying that their participation meets specific licensure or certification requirements applicable to their jurisdiction or credentialing body.

5. Recruiting Services Disclaimer Our recruiting team may assist in introducing CRNAs and SRNAs to hiring facilities. However:

  • We are not a staffing agency and do not guarantee job offers, placement, or compensation.

  • Final employment decisions are made by the hiring organization.

  • You are solely responsible for validating licensure, credentials, and contract terms.

6. User Responsibilities By using our services, you agree to:

  • Provide accurate personal and professional information,

  • Use our content and tools for lawful, educational purposes,

  • Not reproduce, distribute, or misuse our materials without permission,

  • Assume full responsibility for your use of the information and outcomes derived from our services.

7. Intellectual Property All proprietary educational content, including videos, questions, explanations, and branding associated with Valley Health Services, LLC, remains the intellectual property of Valley Health Services, LLC or its licensors. The underlying AI platform and technologies used in Valley Engage may be owned by third-party providers and are subject to their respective terms of service and intellectual property protections.

8. Limitation of Liability Valley Health Services, LLC is not liable for:

  • Errors, omissions, or inaccuracies in content or AI responses,

  • Any damages or losses arising from your use or inability to use our services,

  • Outcomes related to exam performance, licensing, or employment. Use of our services is at your own risk.

9. Privacy Use of our services is also governed by our Privacy Policy, which explains how we collect, store, and use your data.

10. Governing Law These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York County, New York.

11. Changes to Terms We reserve the right to update these Terms at any time. We will notify users of material changes via email or an in-app alert. Continued use of our services after changes constitutes acceptance of the updated Terms.
